1. Agreement to Terms
These Terms of Service (the "Terms") govern your access to and use of Simplio, a web application that automates invoice reminders and payment workflows (the "Service"). By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.
2. Who We Are
Simplio is a software-as-a-service (SaaS) platform that connects with your Stripe account to automate invoice reminders and related communications. The Service is provided "as is" and "as available" for professional use.
3. Eligibility; Account
- You must be at least 18 years old and able to form a binding contract under U.S. law.
- You must provide accurate account information and keep it up to date.
- You are responsible for maintaining the confidentiality of your account and for all activity under it.
4. Free Trial; Subscriptions; Billing
- Free Trial: New users receive a 14-day free trial from account creation. During the trial, you may use the Service without charge. At the end of the trial, continued use requires an active paid subscription.
- Subscriptions: Paid plans are billed in advance, on a recurring basis (e.g., monthly), via Stripe. By subscribing, you authorize us (and our processor) to charge your payment method for the applicable fees and any taxes.
- No Trial Extension on Upgrade: If you upgrade during the free trial, the paid plan begins immediately and does not create a new or extended trial period.
- Cancellations: You may cancel at any time through the in-app billing portal. Cancellations take effect at the end of the current billing cycle. Fees already paid are non‑refundable unless required by law.
- Taxes: Fees are exclusive of taxes. You are responsible for all applicable taxes, duties, and charges.
5. Stripe and Connected Accounts
- Direct Charges: Payments from your clients are processed directly to your connected Stripe account. Simplio does not hold, control, or take custody of client funds.
- Compliance: You must maintain your Stripe account in good standing and comply with Stripe’s terms, policies, and applicable laws. We may suspend Service features that depend on Stripe if your account is restricted.
6. Acceptable Use
- No illegal, fraudulent, infringing, or abusive activity.
- No sending of spam or harassing communications. Reminder emails must be accurate and professional.
- No interference with or disruption of the Service or its infrastructure.
7. Third‑Party Services
The Service integrates with third parties, including Stripe (payments), Supabase (database/auth hosting), Resend (email), and Vercel (hosting). We are not responsible for third‑party services. Your use of those services is subject to their terms and policies.
8. Email and Communications
You authorize us to send reminder emails and related notifications on your behalf. You are solely responsible for the content of messages sent to your clients and for complying with applicable laws (e.g., CAN‑SPAM, anti‑spam, consumer protection).
9. Intellectual Property
We retain all rights, title, and interest in and to the Service, including software, interfaces, and content provided by us. You obtain a limited, non‑exclusive, non‑transferable, revocable license to use the Service as permitted by these Terms.
10. Your Data
You own your content and client data. You grant us a limited license to process such data solely to provide the Service, operate integrations, and comply with legal obligations. We process personal data in accordance with our Privacy Policy.
11. Confidentiality
We will not disclose your non‑public information except to provide the Service, comply with law, or with your consent. You agree to protect our confidential information with reasonable care.
12. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR‑FREE.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, COVER, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY. OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.
14. Indemnification
You will indemnify and hold us harmless from any claims, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; or (c) your content or communications.
15. Suspension and Termination
We may suspend or terminate your access if you breach these Terms, if you misuse the Service, if your Stripe account becomes restricted, or where required by law. You may stop using the Service at any time.
16. Changes to the Service and to These Terms
We may modify or discontinue features with reasonable notice where practicable. We may update these Terms from time to time. Material changes will be posted in‑app or on our website with an updated “Last updated” date. Continued use after changes constitutes acceptance.
17. Governing Law; Dispute Resolution
- Governing Law: These Terms are governed by the laws of the State of Delaware, without regard to conflicts rules.
- Arbitration: Any dispute will be resolved by binding arbitration administered by JAMS in English, on an individual basis. You waive the right to a jury trial and to participate in a class action or class arbitration.
- Injunctive Relief: Either party may seek injunctive or equitable relief for alleged misuse of intellectual property or confidential information.
18. Export; Sanctions; Anti‑Corruption
You represent that you are not located in a sanctioned jurisdiction and that you will comply with applicable export control, sanctions, and anti‑corruption laws.
19. Force Majeure
We are not liable for any failure or delay due to events beyond our reasonable control, including acts of God, labor disputes, internet failures, or actions by third‑party providers.
20. Notices
We may provide notices electronically (e.g., in‑app, email). You agree that electronic communications satisfy any legal requirements for such communications to be in writing.
